1. Who we are and these terms
OneNod is operated by Bray Caswell trading as Caswell Labs (“OneNod”, “we”, “us” or “our”), of 61 Bridge Street, Kington, HR5 3DJ, United Kingdom. Contact: [email protected].
By creating an account, accepting a team invitation, or using the service, you agree to these Terms. If you use OneNod for an organisation, you confirm that you have authority to bind it. OneNod is supplied for business and professional use, not personal or household use.
2. Accounts and authority
You must be at least 18, provide accurate information, protect your password and promptly tell us about suspected unauthorised access. You are responsible for activity carried out through your account except to the extent caused by our breach.
The workspace owner controls the subscription and permissions. Team members must follow the owner’s lawful instructions and these Terms.
3. The service
OneNod helps businesses upload and organise work, invite reviewers, collect comments and change requests, and record approvals. Features and plan limits are described on the pricing and billing pages.
We may improve or change the service. We will give reasonable advance notice where a material change substantially reduces paid functionality, unless urgent security, legal or technical reasons prevent this.
4. Your content and permissions
You and your licensors keep ownership of files, links, comments, branding and other material submitted to OneNod (“Customer Content”). You grant us a non-exclusive, worldwide licence to host, copy, transmit, display and otherwise process Customer Content only as needed to provide, secure, support and improve the service, comply with law, and enforce these Terms.
You confirm that you have the necessary rights and lawful basis to upload Customer Content and share reviewer or client details. You decide what is uploaded, who is invited and how approval records are used.
5. Reviewers and approval records
Secure review links may be used by the intended recipient or anyone to whom that recipient discloses the link. Workspace owners should revoke or replace links where access is no longer appropriate.
OneNod records the relevant project version, reviewer identity, time, decision, statement, browser information and a hashed network identifier. This creates evidence of a decision, but OneNod does not provide legal advice and does not guarantee that a record forms an electronic signature, contract, regulatory approval or legally binding acceptance in every situation.
6. Acceptable use
- upload unlawful, infringing, malicious, deceptive or harmful material;
- violate privacy, confidentiality, intellectual-property or other rights;
- probe, bypass or interfere with security, rate limits, access controls or service operation;
- introduce malware, scrape the service at scale, reverse engineer it except where law permits, or access another customer’s data;
- send spam or unlawful marketing, impersonate another person, or use review links for harassment or fraud;
- process special-category or criminal-offence data unless you have first obtained our written agreement and put all required safeguards in place.
7. Plans, payment and tax
Free and paid plan limits are shown before purchase. Paid subscriptions are billed monthly in advance through Stripe and renew automatically until cancelled. Prices are displayed in GBP and include VAT where the checkout says VAT is included. You authorise Stripe to charge the selected payment method.
We may change prices on at least 30 days’ notice, effective from a later renewal. Failed or overdue payments may result in restricted access or suspension after reasonable notice. You remain responsible for applicable taxes not collected at checkout.
8. Cancellation, plan changes and refunds
You may cancel through the Stripe customer portal. Cancellation takes effect at the end of the paid billing period and access to paid features continues until then. Unless required by law or expressly stated otherwise, fees already paid are non-refundable and we do not provide credits for partial months.
If mandatory consumer rights apply despite the business-use restriction, nothing in these Terms removes them. Contact us promptly if you believe a charge is incorrect.
9. Suspension and termination
We may suspend access where reasonably necessary to protect the service or others, investigate suspected misuse, respond to a legal requirement, or address overdue payment. Where practicable we will explain the reason and allow a reasonable opportunity to remedy it.
A workspace owner may export workspace data and schedule deletion from Settings after confirming their password. A deletion request schedules any paid subscription to cancel and can be withdrawn during the seven-day cancellation window. When that window ends, workspace access and active Customer Content are permanently deleted. Limited billing records, legal records and rotating backup copies may remain as described in the Privacy Notice.
10. Data protection
Each party will comply with applicable data-protection law. For account, billing, security and direct support information, we act as an independent controller as explained in our Privacy Notice.
Where we process client, reviewer or project personal data on behalf of a workspace owner, the owner is the controller and OneNod is its processor. We process that data only on documented instructions embodied in these Terms and use of the service; ensure authorised personnel are bound by confidentiality; apply appropriate technical and organisational safeguards; require equivalent protections from subprocessors; assist with rights requests, breaches, impact assessments and regulator enquiries where reasonably possible; notify the controller without undue delay after becoming aware of a relevant personal-data breach; and, at the end of service, delete or return the data unless law requires retention. We will provide information reasonably necessary to demonstrate compliance and permit proportionate audits subject to confidentiality, security and cost arrangements.
11. Subprocessors and international transfers
We use specialist providers for hosting and infrastructure, object storage and custom domains (Cloudflare), payments and subscription management (Stripe), and transactional email (Resend). You authorise these subprocessors. We remain responsible for our processor obligations and will use lawful transfer safeguards where personal data is processed outside the UK.
We will give reasonable notice of a material new subprocessor where practical. A workspace owner with a reasonable data-protection objection may contact us before the change takes effect.
12. Security, availability and backups
We use measures designed to protect the service, including HTTPS, access controls, hashed passwords and review tokens, restricted storage access, monitoring, and verified database backups. No internet service is completely secure or uninterrupted.
Planned maintenance, emergency work and events outside reasonable control may affect availability. Customers should retain source copies of important files; OneNod is a workflow and approval service, not the sole archive for irreplaceable material.
13. Our intellectual property
14. Liability
Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of terms implied by law that cannot be limited, or any other liability that law does not allow us to exclude.
Subject to that, neither party is liable for indirect or consequential loss. We are not liable for loss of profit, revenue, anticipated savings, goodwill or business opportunity, or loss caused by Customer Content, unlawful instructions, compromised review links, third-party systems, or failure to retain source copies, except where such loss was reasonably foreseeable and caused by our breach.
Our total aggregate liability arising in any 12-month period is limited to the greater of £100 and the fees paid or payable to OneNod for the service in that period. These limits reflect the service and pricing and apply to the fullest extent permitted by law.
15. Changes, notices and transfer
We may update these Terms for legal, security, technical or commercial reasons. We will give reasonable notice of material changes. Changes do not retrospectively remove accrued rights.
Notices may be sent to the email associated with your account. You may not transfer your account or these Terms without our consent. We may transfer the business or these Terms as part of a reorganisation or sale, provided your rights are not materially reduced.
16. Complaints, law and courts
Please send complaints to [email protected]; we will try to resolve them promptly. These Terms and any non-contractual dispute are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law requires otherwise.
If any provision is unenforceable, the remainder continues. Delay in enforcing a right is not a waiver. These Terms, the Privacy Notice and the plan details form the agreement between us concerning OneNod.
Contact us at [email protected]. We’ll respond as soon as reasonably possible.
